Welcome to MemoPod. These Terms of Service ("Terms") govern your use of the MemoPod mobile application and any related services (collectively, the "Service") provided by MemoPod ("we," "us," or "our").

By creating an account or using our Service, you agree to be bound by these Terms and our Privacy Policy. Please read them carefully.

1. Description of Service

MemoPod is a digital sanctuary designed to help parents and guardians capture, preserve, and organize the precious, fleeting moments of their children's lives. The Service allows you to save memories in various formats, add emotional context, and organize them into a lasting emotional inheritance for your family.

2. Eligibility and User Accounts

You must be 18 years of age or older to create an account and use the Service.

By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to agree to these Terms. You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Your Content and Ownership (Your Treasures Belong to You)

You Retain Full Ownership: You retain full ownership of all the content, including photos, videos, voice notes, and text that you upload or create in the Service ("User Content" or "Treasures"). We claim no ownership rights over your Treasures.

Our Limited License to Your Content: In order to operate and provide the Service, you grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, encrypt, display, reproduce, and transmit your User Content solely for the purpose of providing the Service to you. For example, we need this license to save your memories to our servers and display them back to you on your devices. We will not use your User Content for any other purpose, such as advertising or marketing, without your explicit consent.

4. Acceptable Use Policy

You agree not to use the Service to upload, post, or share any content that:

• Is unlawful, harmful, threatening, or otherwise objectionable.
• You do not have the right to share.
• Infringes on any third party's intellectual property rights.

You also agree not to reverse-engineer, decompile, or attempt to extract the source code of our app.

5. Subscriptions and Payments

The Service is offered under a freemium model.

Free Tier: You may use the Service for free, subject to certain limitations on features, such as the number of memories you can save per day or the number of children you can register.

Premium Subscription: For unlimited access, you may purchase a "Treasure Keeper Premium" subscription. Subscriptions are billed on a monthly or annual basis through the Apple App Store or Google Play Store.

Billing & Cancellation: Your subscription will automatically renew unless you cancel it through your app store account settings at least 24 hours before the end of the current billing period. We do not offer refunds for partial subscription periods.

6. Termination

By You: You may stop using the Service and delete your account at any time through the app's settings.

By Us: We reserve the right to suspend or terminate your account if you are in breach of these Terms.

7. Disclaimers of Warranties

The Service is provided "as is" and "as available" without warranties of any kind. We do not warrant that the Service will be uninterrupted, secure, or error-free.

8. Limitation of Liability

To the fullest extent permitted by law, MemoPod shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Service.

9. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Grand Duchy of Luxembourg, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Luxembourg City.

10. Changes to These Terms

We may modify these Terms from time to time. We will notify you of any significant changes by email or through an in-app notification. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
